The EULA is an agreement between the licensee and SM Type Foundry, an initiative by Open Studio. By receiving, downloading, installing, using, or otherwise handling the digital typeface software – hereafter font(s) – you accept the terms of this agreement as stated below. In accepting the terms of this agreement, you acknowledge understanding and complying with the terms. This agreement replaces and supersedes any previously made oral or written proposal or agreement between SM and the licensee.
By acquiring our fonts, SM grants the licensee a non-exclusive license to use the font software within the terms and conditions of this agreement. The font software represented by this contractual agreement remain the intellectual property of SM and their respective creators at all times. We reserve the right to modify this license agreement in any way, at any time and without notice.

01.1
License Plan
The fonts may only be installed on the specific amount of computers specified in your license plan within a single organisation. Starting at 1 - 3 CPU or 10K monthly views for a single license with the possibility to be extended for the right amount of users for your or your clients organisation.

Trials
Trial fonts are acquired for free and you are not allowed to use the fonts for commercial purposes. Usage of trial fonts is limited to testing, pitching and/or internal use only. Trials fonts are provided in OTF, for other formats please get in touch.

Desktop License
Desktop fonts are provided in OTF format. The licensee is permitted installation of fonts in order to design images and documents for print and screen only. The licensee can make security copies of the Fonts as long as they remain inaccessible to external parties. When embedded in production files, a copy of the Fonts may be shared with prepress and printing entities. It is prohibited to use desktop fonts to generate webfonts.

Web License
Webfonts are provided in WOFF, WOFF2 and EOT formats and must be self-hosted on the License Owner’s server(s). A license is assigned based on the monthly number of views, starting at 10K per website title (URL). If you want to use webfonts on several separate URL’s, the licensee needs to purchase a separate web License for each URL. Web Fonts have to be acquired as such and must not be generated from desktop fonts.

02.1
Modification
The licensee is not allowed to rename, modify, reverse engineer, dissasemble, alter or otherwise copy the SM font software, nor seek to discover the source code of the font data. Any modification of our font software is prohibited. All and any modifications to the software in any form, must be exclusively made by SM Type Foundry. Distribution
The licensee is not entitled to copy the font soft- ware or to enable third-party users to copy them either. Furthermore you are not authorized to sublicense, assign, sell, lend or lease the fonts or any rights under the license or any parts thereof. Any use of the fonts not expressly permitted in this agreement constitutes an infringement of intellectual property rights of SM.

Embedding
You may embed the licensed fonts into any document you send to third parties. Such documents may be viewed and printed (but not edited or used) by the recipients. You may not under any circumstances embed the licensed fonts into software or hardware products in which the fonts will be used by the purchasers of such products.

Performance
The entire risk as to the quality and performance of the font software rests upon you. SM Foundry does not warrant that the functions contained in the fonts will meet your requirements or that the operation of the software will be uninterrupted or error free.

Refund
All purchases are final, SM doesn’t offer a refund on font license purchases. Font software may be returned or exchanged only if defective. Defective software will be replaced when accompanied by a receipt and if SM is notified within one week of purchase.

06.1
Termination
The Agreement is effective until terminated. This Agreement will terminate automatically without notice from SM if you fail to comply with any provision contained herein. Upon termination, the licensee must destroy the written materials, the fonts, and all copies of them, in part and in whole, including modified copies, if any.

Copyright
Any and all rights not expressly granted in this agreement are reserved to SM Type Foundry (an initiative by Open Studio). This license shall be governed by and construed under and in accordance with the laws of The Netherlands.
